Sr. Corporate Counsel – BIOTECH COMPANY (Bay Area)
This is a great position that involves the law and some biz dev and R&D. Our client, a biotechnology company is seeking a corporate attorney capable of
assuming primary responsibility for selected areas of in-house legal representation.
The attorney will work closely with the General Counsel, other members of the in-house legal
team, outside counsel, and multiple client groups within the company. The candidate will have significant
experience drafting and negotiating complex intellectual property transactions for biotech/life sciences, industrial chemicals
and/or fuel companies. He/she must be able to independently manage complex transactions such as joint ventures, strategic
partnering and collaboration arrangements. He/she will also be able and willing to manage (which may
include supervising junior attorneys) more routine contracts such as non-disclosure/confidentiality agreements, material transfer
agreements, license agreements, research agreements, manufacturing agreements and supply agreements. The attorney in
this position will work closely with the General Counsel and Chief IP Counsel to support the company’s R&D and business
development activities. The attorney will take the lead in handling certain of the company’s significant business
development activities and transactions. The attorney will need to partner effectively with the company’s R&D
team and other key stakeholders, including the business development and finance departments, to obtain necessary information,
conduct legal analysis, provide strategic advice, resolve internal disconnects and ensure that
all interests are appropriately represented in the applicable legal contract. Responsibilities may also
include supervising and mentoring a junior attorney. The ideal candidate will be comfortable doing a significant
amount of original drafting, with minimal support from outside counsel, will be interested
in learning about complex technology and the business and legal norms of foreign jurisdictions and will be willing to take
on and manage multiple areas of responsibility over time.
Requirements:
- Strong academic background, including JD from a top 20 U.S. law school
- 5 to
8 years experience in a top 20 law firm with a strong emphasis on intellectual property transactions
- Experience with biotechnology/life
sciences intellectual property transactions
- Licensed to practice law in California or be registered as in-house counsel
- Excellent
ability to issue spot and integrate legal advice with business goals
- Keen legal and business
instincts
- Strong verbal and written communication skills, including the ability to communicate concisely
- Extremely
strong interpersonal skills including maturity, creativity and a high energy level
- Team-oriented and able to interact effectively
and influence peers and all levels of management
- Ability to work well in a cross-functional team environment, as well
as in a small team environment and become a productive and positive member of the Legal department.
