Job Description
This renewable products company is seeking an experienced transactional attorney capable of assuming primary
responsibility for selected areas of in-house legal representation. The attorney will work
closely with the members of the company’s in-house legal team, outside counsel,
and multiple client groups within the company. The candidate should have significant experience
drafting and negotiating complex intellectual property transactions for biotech/life sciences, industrial chemical and/or
fuel companies. He/she must be able to support senior transactional attorneys in managing complex transactions such as joint
ventures and strategic partnering and collaboration arrangements, and demonstrate an ability to manage less complex deals,
such as manufacturing, distribution and supply arrangements, independently. Most of the transactions will have significant
intellectual property components and proficiency and creativity in licensing and related IP concepts is a must. The attorney
will also be responsible for providing legal support in the post-execution/implementation phase of various collaborations.
In addition, he/she will be able and willing to independently assist in the processing of the company’s higher volume,
more routine contracts, such as non-disclosure/confidentiality agreements, material transfer agreements, license agreements
and research agreements. Like all attorneys at all levels at this company, he/she will be willing to pitch in wherever necessary
to assist the legal team in meeting the company’s ambitious goals. The attorney in this
position will work closely with the company’s other transactional attorneys and the company’s IP counsel to support
the company’s R&D, business development, manufacturing/supply chain and commercialization activities. He/she will
need to partner effectively with the company’s business development team and other key stakeholders, including the R&D
and finance groups, to obtain necessary information, conduct legal analysis, provide strategic
advice, resolve internal disconnects and ensure that all interests are appropriately represented in the applicable legal contract.
The ideal candidate will be comfortable doing a significant amount of original drafting, with minimal support from outside
counsel, will be interested in learning about complex technology and the business and legal
norms of foreign jurisdictions and will be willing to take on and manage multiple areas of responsibility over time.
Requirements
· Strong academic background, including JD from a top
20 U.S. law school
· 6 to 10 years experience in a top law firm and/or in a strong in-house
legal department, with an emphasis on intellectual property transactions

Experience with biotechnology/life
sciences intellectual property transactions
· Licensed to practice law in California or be registered
as in-house counsel
l· Ability to travel, both nationally and internationally
· Excellent ability to issue spot and integrate legal
advice with business goals

Keen legal and business instincts
· Strong
verbal and written communication skills, including the ability to communicate concisely
· Extremely strong interpersonal skills including maturity, creativity and a high energy level
· Team-oriented and able to interact effectively and influence peers and all levels of management
· Ability to work well in a cross-functional team environment, as well as in a small team environment
and become a productive and positive member of the Legal department
